Rooted Coast LedgerTerms of Service
Last updated October 6, 2026
The short version. Ledger is software for running your shop: the register, your items and stock, receipts, and invoices. Card payments run through your own Stripe account, so money goes straight from your customer to your bank — we never hold it. Ledger does not take a cut of your sales. You are responsible for what you sell and for your own customers. You can leave whenever you like and take your records with you.
Each section starts with a one-line summary to help you find your way. The full text under each summary is the actual agreement.
1. Who this agreement is with
In plain EnglishThis is a deal between your business and Rooted Coast Design.
These Terms of Service (the “Terms”) are a binding agreement between Rooted Coast Design LLC, an Oregon limited liability company (“Rooted Coast,” “we,” “us”), and the business or individual that creates an account to use Rooted Coast Ledger (“you,” “your,” or “Merchant”).
By creating an account or using Rooted Coast Ledger (the “Service”), you agree to these Terms. If you are agreeing for a company, you confirm you have authority to bind it, and “you” means that company. If you do not agree, do not use the Service.
The public demo at rootedcoastledger.com/demo needs no account. It keeps everything on your own device, processes no payments, and is provided as-is for trying the Service out.
2. What the Service is
In plain EnglishPoint-of-sale and record-keeping software. Features may change, and we’ll warn you before we take away anything you rely on.
Rooted Coast Ledger is business software. Depending on what you use, it may provide a point-of-sale register, barcode scanning (with a scanner or your device’s camera), an item catalog with stock counts, spreadsheet import, sales and refund records, printable receipts, staff PINs, estimates and invoices, customer records, and links that let your customers pay online.
Some features link out to other services for your convenience — for example, an item’s “eBay sold prices” link opens a search on eBay’s own website. Those services are not part of Ledger and have their own terms.
We may add, change, or remove features. If we remove or materially reduce a feature you rely on, we will give you reasonable advance notice by email.
3. Your account
In plain EnglishBe 18 or older, keep your details accurate, keep your password safe, and tell us if something looks wrong.
- You must be at least 18 and legally able to enter into contracts.
- You must give accurate account and business information and keep it current.
- You are responsible for keeping your password secure and for all activity under your account. Tell us promptly at hello@rootedcoastdesign.com if you think someone has used your account without permission.
- You are responsible for anyone you let use your account — including staff using a PIN at your register — and their actions are treated as yours.
4. What it costs
In plain EnglishLedger never takes a percentage or a per-sale fee. Stripe charges its own card fees. Any subscription is shown to you before you agree to it.
Rooted Coast does not charge a per-transaction fee, platform fee, or percentage of your sales for payments processed through the Service.
If the Service has a subscription fee, it is the one presented to you, and agreed to by you, before you are billed. We will not bill you for a subscription you have not agreed to. We will give you at least 30 days’ notice by email before increasing any recurring fee, and you may cancel before the increase takes effect. Subscription fees are billed in advance and, except where the law requires otherwise, are not refunded for partial periods. Fees do not include taxes; you are responsible for sales and similar taxes on them, other than taxes on our income.
Card processing fees are Stripe’s, not ours. Stripe sets them and deducts them under your agreement with Stripe. The Service shows Stripe’s current standard rates on your Payments page for your convenience; Stripe’s own pricing is what applies.
5. Payments are processed by Stripe, not by us
In plain EnglishYour money goes from your customer to your Stripe account to your bank. It never passes through us.
This is the most important section of these Terms. Rooted Coast is a software provider. We are not a bank, a payment processor, a money transmitter, or a party to the sales between you and your customers.
Card payments made through the Service are processed by Stripe, Inc. To accept them, you must open and keep your own Stripe account and accept Stripe’s agreements, including the Stripe Connected Account Agreement and the Stripe Services Agreement. Those agreements are between you and Stripe, and we are not responsible for what Stripe does or does not do.
- Funds settle directly to your Stripe account and are paid to your bank on Stripe’s schedule. Rooted Coast never receives, holds, or controls your funds or your customers’ funds.
- Stripe decides whether to approve your account, may ask you for verification, and may limit, hold, or end your ability to take payments. We cannot override that.
- We never see or store full card numbers. Card details are entered on Stripe’s pages, including when a customer pays by scanning a QR code at your register.
- Cash and other payments you record are entries in your records only; no money moves through the Service.
6. Your responsibilities as a Merchant
In plain EnglishYou run your shop: what you sell, your prices, your taxes, your refund policy, and your customers are yours.
You are the seller of record for everything you sell, and you alone are responsible for:
- the goods and services you sell, and their description, quality, and delivery;
- your relationship with your customers, including support, cancellations, and your refund policy;
- the laws, licenses, and permits that apply to your business, including consumer protection and sales tax;
- the accuracy of the prices, barcodes, stock counts, tax rates, tips, and totals you set up or import; and
- having a lawful basis for any customer information you enter.
Tax rates you enter are applied exactly as you set them. We do not check that a rate is right for your area, and we are not a tax advisor. Stock counts are a convenience; your shelf is the source of truth.
7. Acceptable use
In plain EnglishUse Ledger for honest sales of legal things, and don’t try to break it.
You agree not to use the Service to:
- break any law, or help anyone else do so;
- sell anything on Stripe’s restricted businesses list, which applies to you through your Stripe agreement;
- process a payment that isn’t a real, good-faith sale by you, including running your own card for cash;
- infringe anyone’s intellectual property, privacy, or other rights;
- upload malicious code, try to get unauthorized access, probe or scan the Service, or interfere with it; or
- resell or provide the Service to others as your own product without our written agreement.
8. Refunds, chargebacks, and disputes
In plain EnglishIf a customer wants their money back or disputes a charge, that’s between you, them, and Stripe.
Card refunds you issue are processed by Stripe against your account. If a customer disputes a charge, the dispute is between you, your customer, and Stripe, under the card networks’ rules. You are financially responsible for refunds, chargebacks, disputes, and any fees Stripe charges for them. Because Ledger takes no fee on your sales, there is no Ledger fee to refund or reverse.
9. Your data
In plain EnglishYour records are yours. We look after them so the app works, and you can take them with you. See the Privacy Policy for details.
Our handling of personal information is described in our Privacy Policy, which is part of these Terms.
As between you and us, you control the data about your business and your customers that you put into the Service, and we process it on your behalf to provide the Service. You are responsible for having the right to give it to us. We may use aggregated, de-identified information that cannot reasonably identify you or anyone else to run, secure, and improve the Service.
You may export or request a copy of your business records at any time while your account is open.
10. Who owns what
In plain EnglishWe own the software. You own your business, your name, your logo, and your data.
The Service, including its software, design, and branding, belongs to Rooted Coast and is protected by intellectual property law. We give you a limited, non-exclusive, non-transferable, revocable right to use it for your own business while your account is open, under these Terms. You may not copy, modify, reverse engineer, or make derivative works from it, except where the law does not allow that restriction.
Your business name, logo, content, and data remain yours. You give us only the limited permission needed to host, show, and process that material to run the Service for you.
11. Availability, and no warranties
In plain EnglishWe work hard to keep Ledger running and correct, but it depends on the internet and on other companies, so we can’t promise it never goes down. Keep your own records too.
We work to keep the Service available and accurate, but we do not promise it will be uninterrupted or error-free. It depends on third parties — including Stripe, Supabase, Vercel, and your own internet connection — whose problems can affect it. Finishing a sale currently requires an internet connection. We may perform maintenance, and may suspend the Service where needed to protect its security.
To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your needs, that any figure it shows is suitable for tax or accounting purposes, or that defects will be fixed. You are responsible for keeping your own records, and should not rely on the Service as your only copy of anything you are legally required to keep.
12. Limits on our liability
In plain EnglishIf something goes wrong, what we owe you is capped, and we aren’t responsible for lost profits or for what Stripe or your bank does.
To the fullest extent permitted by law, Rooted Coast will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, sales, or data, or business interruption, even if we were told they were possible.
Our total liability arising out of these Terms or the Service will not exceed the greater of (a) the fees you paid us in the three (3) months before the event giving rise to the claim, or (b) one hundred dollars ($100).
We are not liable for losses caused by Stripe, your bank, the card networks, or any other third party, or for any decision by Stripe to hold, delay, or reverse funds. Some places do not allow certain limits, so parts of this section may not apply to you. Nothing here limits liability that the law does not allow to be limited.
13. Indemnification
In plain EnglishIf someone makes a claim against us because of your business or your customers, you cover it.
You agree to defend, indemnify, and hold harmless Rooted Coast and its members, officers, and contractors from any claim, loss, liability, or expense (including reasonable attorneys’ fees) arising from: the goods or services you sell; your relationship with your customers; your breach of these Terms or of any law; your data and your right to give it to us; or your tax obligations.
14. Leaving, and ending the agreement
In plain EnglishYou can cancel any time and you get at least 30 days to export your records.
These Terms apply for as long as you have an account. You may cancel at any time in your account or by emailing us; if you have a subscription, cancellation takes effect at the end of the current billing period.
We may suspend or close your account immediately if you seriously breach these Terms, if the law or Stripe requires it, or if your use creates a security or legal risk. Otherwise, we may end the Service for you with 30 days’ notice.
After your account closes, you will have at least 30 days to export your data before we delete it, unless the law requires us to keep or delete it sooner. Sections 4 (for amounts already owed), 6, 8, 9, 10, 11, 12, 13, 15, and 16 continue to apply after the agreement ends.
15. If we disagree
In plain EnglishTalk to us first. If that doesn’t work, Oregon law applies and the case is heard in Coos County.
These Terms are governed by the laws of the State of Oregon, without regard to its conflict-of-laws rules.
Talk to us first. If you have a dispute, email hello@rootedcoastdesign.com with a description of the problem and what you would like done. We both agree to work in good faith for 30 days to resolve it before either of us starts a formal proceeding.
If that fails, any action must be brought in the state or federal courts for Coos County, Oregon, and we both consent to those courts’ jurisdiction. Either of us may still bring an individual claim in small claims court.
16. The rest
In plain EnglishStandard housekeeping: how changes work, and what happens if part of this doesn’t hold up.
- Changes. We may update these Terms. For a material change we will email you or tell you in the Service at least 30 days before it takes effect, and you may cancel before then. Using the Service after that means you accept it. We will not introduce a per-transaction fee by changing these Terms without that notice and your agreement.
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about the Service and replace any earlier understanding.
- Severability. If any part is unenforceable, the rest still applies.
- No waiver. Not enforcing something once doesn’t mean we give it up.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition, or sale of assets.
- Force majeure. Neither of us is liable for failures caused by things beyond reasonable control.
- Notices. We send notices to the email on your account. Send notices to us at hello@rootedcoastdesign.com.
- Independent parties. Nothing here creates a partnership, joint venture, agency, or employment relationship.
